Terms of Service

These terms govern your use of DuoExpert, the AI agent and workspace service at duoexpert.ai and app.duoexpert.ai (the "Service"). By creating an account or using the Service you agree to them.

1. The Service

DuoExpert gives you a persistent workspace — projects, tasks, documents, files, and apps — shared between you and an AI agent that works in it alongside you. The AI can create and edit content in your workspace, build apps, and publish websites at your direction. The Service is under active development; features may be added, changed, or removed.

2. Your account

You must provide accurate account information and keep your sign-in credentials secure. You are responsible for all activity under your account. You must be at least 16 years old (or the minimum age of digital consent in your country) to use the Service.

3. Subscriptions, credits, and billing

• Paid plans are billed through Stripe on a recurring basis (monthly or yearly) until cancelled. Prices and plan limits are shown on the plans page in the app.
• Plans include a monthly allowance of credits — the single balance the Service spends when you ask DuoExpert to do work (AI responses, and compute time for building and previewing your projects). Unused allowance credits do not roll over between billing cycles unless stated otherwise.
• You can cancel, upgrade, or downgrade at any time from the app. Cancellations and downgrades take effect at the end of the current billing period — you keep what you paid for until then; upgrades take effect immediately with a prorated charge.
• Except where required by law, payments are non-refundable.

4. Your content

Everything you and your AI agent produce in your workspace is yours — see the Ownership Policy. You grant us only the limited license needed to host, process, transmit, and display that content in order to operate the Service, including sending relevant context to AI model providers to generate responses. Handling of personal data is described in the Privacy Policy.

5. Acceptable use

You may not use the Service to:

• break the law, or infringe others' rights (including intellectual property and privacy);
• publish or distribute malware, phishing pages, spam, or deceptive content — including via websites and apps published through the Service;
• attempt to breach, probe, or overload the Service's security or infrastructure, or access another user's workspace;
• resell or white-label the Service without our written agreement.

We may suspend or remove content or accounts that violate these rules, and may take down published websites that do.

6. AI output

The Service produces AI-generated content. It can be wrong, incomplete, or outdated, and it is not professional advice. You are responsible for reviewing AI output before relying on it or publishing it. See the Disclaimer.

7. Our intellectual property

The Service itself — its software, design, and branding — is ours or our licensors'. These terms give you a personal, non-exclusive, non-transferable right to use it; they do not transfer any rights in the Service to you.

8. Termination

You can stop using the Service and delete your account at any time from the app's settings; deletion removes your workspaces and their content. We may suspend or terminate accounts that violate these terms or create risk for the Service or other users; where reasonable, we will notify you first so you can retrieve a copy of your content.

9. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data; our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months preceding the claim. Nothing in these terms excludes liability that cannot be excluded by law.

10. Changes to these terms

We may update these terms as the Service evolves; the date above reflects the latest revision. For material changes we will give notice in the app or by email, and continued use after the change takes effect constitutes acceptance.

11. Governing law and contact

The Service is operated by the Romanian sole trader identified in full in section 9 of the Privacy Policy, trading as DuoExpert.

These terms are governed by Romanian law, and the courts of Iași, Romania have jurisdiction over any dispute. If you use the Service as a consumer, this does not deprive you of the protection of the mandatory consumer-law provisions of your country of residence, or of your right to bring proceedings there.
